Operational Preamble & Sovereign Agreement
This Master Terms of Service and Software Operating Agreement ("Agreement") governs your organization's access to and use of Adhyakṣa: Unified Management OS (AUM OS), including all hosted cloud software, distributed branch nodes, POS cashiers, Document Studio OCR, and self-hosted Dokploy/Docker software artifacts provided by HostingSpell LLP ("HostingSpell", "we", "us", or "our"). By registering a workspace, configuring an AI provider key, or deploying container binaries, you ("Customer", "Subscriber", or "User") agree to be irrevocably bound by these Terms.
Document Structure & Table of Contents:
1. Acceptance & Authority to Bind
By clicking "Create Account", "Sign In", executing an enterprise order form, or deploying an Adhyakṣa Docker container, the individual acting on behalf of the Customer affirms that they possess the requisite legal authority to bind the Customer organization to this Agreement. If you do not possess such authority, or if you do not agree with any provision herein, you must immediately refrain from utilizing the Adhyakṣa system.
2. The 12 Integrated Operational Engines (AUM OS)
Adhyakṣa is a unified business management operating system. The software integrates twelve distinct operational domains into a singular, interconnected relational PostgreSQL database schema:
- Dynamic Invoicing & GST/VAT Multi-Currency Turnovers
- Point of Sale (POS) & Multi-Warehouse Inventory
- Lending Facilities, Debt Deals & EMI Amortization
- Provider Contracts, SaaS Assets & Renewal Radars
- Biometric HRM, Shift Logbooks & Multi-Tier Payroll
- Practice Management, Clinical Notes & Legal Case Files
- Visual Kanban Execution & Productivity Boards
- Client CRM, Relationship Portals & Public Links
- Autonomous AI Operations Copilot
- Document Studio OCR Bank Statement Reconciliation
- Profitability, Cashflow Burn & Real-Time P&L
- Granular RBAC Shield & Immutable WORM Audit Vault
HostingSpell warrants that all 12 modules communicate without third-party middleware or proprietary synchronization locks.
3. User Accounts, Identity & RBAC Token Security
Each organization workspace is provisioned with a Master Owner credential. The Customer is solely responsible for maintaining the confidentiality of all user passwords, API tokens, and biometric clock-in hashes. Customer administrators must assign appropriate Role-Based Access Control (RBAC) permissions to employees, ensuring that sensitive financial journals, staff salaries, and clinical health records are accessible only to authorized personnel.
4. Pranava Free Forever Plan & Fair Use Guardrails
HostingSpell is committed to sovereign technology access. The Pranava Free Forever ($0) plan provides unrestricted, perpetual access to core Invoicing, Visual Kanban, Document Studio (up to 15 OCR docs/mo), and standard Autonomous AI for up to 5 user seats with zero credit card required.
To protect availability for all solo founders and startups, automated high-frequency scraping, denial-of-service bot abuse, or cryptocurrency mining on shared Pranava servers is strictly prohibited. Workspaces exceeding 10GB NVMe storage will be prompted to archive records or upgrade to Sthira Pro.
5. Commercial Subscriptions & Scale Billing
Commercial tiers (Sthira Pro at $39/mo billed annually, and Ananta Elastic at $119/mo base + dynamic node scaling) are billed in advance on a recurring monthly or annual basis.
- Zero Intermediary Token Markups: Adhyakṣa charges $0 markup on your AI API consumption. You pay your AI providers (OpenRouter, Anthropic, OpenAI, Replicate) directly.
- Cancellation & Refunds: You may cancel your subscription at any time via the billing console. Upon cancellation, your workspace remains fully functional until the end of the current billing period.
6. Autonomous AI Operations & 2-Phase Confirmation Safety
Adhyakṣa integrates an autonomous AI Copilot capable of formulating transactional changes across all 62 database entities. To guarantee corporate safety, the software enforces a strict 2-Phase Confirmation Architecture:
The AI Copilot does not write directly to live production tables without human approval. The AI generates a structured Action Proposal. The transaction is committed to the database only when an authorized human operator clicks 'Confirm & Apply'. The Customer acknowledges responsibility for reviewing action payloads before confirmation.
7. 1-Click Atomic Rollbacks & Transaction Safeguards
Every AI-assisted or manual batch transaction generates an isolated state snapshot in the Adhyakṣa Action Execution Log. Authorized administrators may execute a 1-Click Atomic Rollback to restore previous table states within the retention window (24 hours on Pranava, 30 days on Sthira, 1 year on Ananta, and perpetual immutable WORM on Sovereign).
8. Sovereign Self-Hosting License (Dokploy & Docker)
Customers deploying Adhyakṣa on their private bare-metal servers or cloud VPCs via Dokploy or Docker Compose are granted a perpetual, non-exclusive, non-transferable license to execute the container binaries for their internal business operations. Self-hosted instances operate without telemetry, without cloud phone-home checks, and without remote kill-switches.
9. Customer Data Ownership & Zero Vendor Lock-In
HostingSpell claims zero intellectual property rights over any customer data, invoices, patient notes, employee attendance records, or financial journals stored in Adhyakṣa. The Customer maintains 100% data sovereignty (Swaraj). You retain the perpetual right to export your entire database schema and raw SQL tables via standard PostgreSQL pg_dump utilities at any time.
10. High Availability & Service Level Agreement (SLA)
HostingSpell warrants an uptime availability of 99.9% for Sthira Pro, 99.99% for Ananta Elastic, and 99.999% for Sovereign On-Prem deployments, as detailed in our formal Service Level Agreement (SLA). Service credits are automatically applicable for qualified unannounced downtime.
11. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, in no event shall HostingSpell LLP, its partners, or developers be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of the use or inability to use Adhyakṣa. HostingSpell's total cumulative liability under this Agreement shall not exceed the aggregate fees paid by the Customer in the preceding twelve (12) months.
12. Governing Law, Dispute Resolution & Severability
This Agreement shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles. Any dispute or claim arising out of or in connection with this Agreement shall be resolved through binding arbitration in Ahmedabad, Gujarat, India, under the Arbitration and Conciliation Act, 1996. If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue in full force and effect.
